Terms of Service

    1. What Insy8 is

    Insy8 is a merchant operations platform that brings connected systems, operational work, customer context, and decision records into a shared workspace. These terms govern access to and use of Insy8 unless a signed agreement between you and us says otherwise.

    2. Access and accounts

    • Access is provisioned by invitation, merchant workspace setup, or an Insy8-issued access token. Insy8 is not an open self-service registration platform.
    • You must provide accurate account and workspace information.
    • You are responsible for keeping login credentials, invite links, and access tokens secure.
    • You are responsible for activity under accounts assigned to your organisation.
    • Only authorised team members may access a workspace.

    3. Connected systems and customer data

    You may authorise Insy8 to connect to third-party commerce, accounting, messaging, delivery, and operations systems. By enabling a connector, you instruct us to process data from that system so we can provide the service.

    • You must have the right to connect the third-party system and share its data with Insy8.
    • You remain responsible for the accuracy, legality, and configuration of data in systems you connect.
    • We do not sell merchant customer data or use it for advertising.
    • Some connectors may be unavailable, limited, or subject to separate third-party terms.

    4. Fees and payment

    Fees, billing cadence, included usage, overages, taxes, and cancellation terms are set out in the order form, subscription agreement, invoice, marketplace billing flow, or other written agreement that applies to your workspace.

    Unless that agreement says otherwise, fees are non-refundable except where required by law, and you are responsible for taxes, duties, or similar charges arising from your use of the service.

    5. Acceptable use

    You agree not to:

    • Use Insy8 for any unlawful, harmful, or unauthorised purpose.
    • Attempt to access data belonging to another merchant or workspace.
    • Interfere with, overload, probe, scan, or disrupt the service or its infrastructure.
    • Reverse engineer, scrape, copy, or resell the platform except as permitted by law.
    • Upload malicious code or use the service to send unlawful or abusive communications.
    • Misrepresent your identity, authority, or relationship to a merchant.

    6. Ownership and licence

    You and your customers retain ownership of data you submit to, sync into, or create in Insy8. You grant us a limited licence to host, process, transmit, display, and back up that data only as needed to provide, secure, support, and improve the service.

    We and our licensors retain all rights in Insy8, including software, workflows, user interface, documentation, know-how, and service improvements. No rights are granted except as expressly stated in these terms or a signed agreement.

    Feedback may be used by us without restriction or compensation, provided we do not use it in a way that identifies you or discloses confidential information.

    7. Data protection

    Your use of Insy8 is also governed by our Privacy Policy, which is incorporated into these terms.

    For personal data that merchants control, the merchant is the controller and Insy8 acts as processor. You are responsible for ensuring that your use of Insy8 and any connected systems complies with applicable privacy, consumer protection, communications, and data protection laws.

    8. Data processing terms

    Where we process personal data on your behalf, the following data processing terms apply unless a separate data processing agreement has been signed:

    • Instructions. We process personal data only to provide the service, follow your documented instructions, comply with law, and perform obligations described in these terms.
    • Confidentiality. Personnel authorised to process personal data are subject to confidentiality obligations.
    • Security. We apply technical and organisational measures appropriate to the risk, including access controls, encryption in transit, credential protection, logging, and operational monitoring.
    • Sub-processors. We may use sub-processors for hosting, storage, database, messaging, observability, support, and authorised connector functionality. We remain responsible for their processing of personal data where required by law.
    • International transfers. Where processing involves transfers outside the EU/EEA, we use an appropriate lawful transfer mechanism such as Standard Contractual Clauses or an adequacy decision.
    • Data subject rights. We will reasonably assist you with data subject requests where technically possible and where you cannot respond without our help.
    • Deletion and return. On termination or valid deletion request, we will delete or return personal data as required by law and our agreement, subject to backup cycles and records we must retain for legal, accounting, security, or dispute purposes.
    • Audit information. We will make available information reasonably necessary to demonstrate compliance with these obligations upon written request.

    9. Service changes and availability

    We may improve, modify, suspend, or discontinue parts of the service. We aim to operate the service reliably, but we do not guarantee uninterrupted access unless a signed agreement expressly provides a service level commitment.

    10. Confidentiality

    Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and may use it only to perform or receive the service, comply with law, or enforce these terms.

    11. Disclaimers

    Insy8 is provided on an "as is" and "as available" basis except as expressly stated in a signed agreement. We do not warrant that the service will be uninterrupted, error-free, or meet every business requirement. You remain responsible for business decisions, operational review, and compliance obligations in your own business.

    12. Limitation of liability

    To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

    To the maximum extent permitted by law, our total liability for all claims relating to the service is limited to the amounts paid or payable to us for the affected workspace in the three months before the event giving rise to the claim, unless a signed agreement says otherwise.

    13. Suspension and termination

    You may stop using Insy8 at any time, subject to any payment or notice obligations in your applicable order or agreement. We may suspend or terminate access if you breach these terms, create risk for the service or other users, fail to pay amounts due, or if required by law.

    After termination, we will handle workspace data as described in the Privacy Policy and any applicable agreement.

    14. Governing law and disputes

    The governing law and dispute forum for these terms may be set out in the order form, subscription agreement, or other written agreement that applies to your workspace.

    15. Changes to these terms

    We may update these terms from time to time. We will update the date at the top of this page and, where changes are material, notify affected merchants by email or in-product notice. Continued use after the effective date means you accept the updated terms.
